Foreigners can own and run companies in Georgia. This guide explains, from the Law on Entrepreneurs, the legal forms, what registration involves and which data and documents you prepare. Fees and processing times are set by the Registry’s instructions and change, so MITC confirms them for your case.
Choose the legal form
Business activity may be carried out by an individual entrepreneur or a company. The company forms are the general partnership, limited partnership, limited liability company (LLC), joint-stock company and cooperative (Article 2).
- Individual entrepreneur: not a legal person. You act as a natural person and answer to creditors personally with all your assets, unless you agree otherwise with the creditor.
- LLC: the capital is divided into shares and the partners’ liability is limited. The company is liable with all its assets, but not for the partners’ obligations (Article 123).
- Joint-stock company: for larger structures with shareholders and, where needed, a supervisory board.
A company is a legal person. Many foreign owners choose the LLC because liability is limited.
Registration is mandatory
An entrepreneur must be registered. Registration covers both state registration and tax registration and is done by the National Agency of Public Registry (Article 8). The entrepreneur exists from the moment of registration, and the decision takes effect when it is published on the registry’s electronic platform. Only partners and founders of a general partnership, limited partnership or LLC appear in the Registry.
What you prepare for a company
- Instrument of incorporation with the statute (Articles 4 to 6). It must contain the brand name, the legal address, the identification data of each partner and the manager, and the legal form details. For an LLC it also states the shares and each partner’s share of the capital in percent, adding up to 100%.
- Legal address: the actual address in Georgia.
- Consent of each manager to perform the function, unless it is already in the instrument.
- Signatures: notarised, or certified by the Public Registry, or created as an electronic signature under the law.
- Foreign partners: the same identification data is required as for a Georgian person, and an identity document used for notarial actions.
If the founders do not draft their own statute, a standard statute approved by the Minister of Justice applies.
Managing the LLC
An LLC is managed and represented by one or more managers, who may be a natural or a legal person. The manager follows the partners’ decisions and is hired under a service agreement. If a manager leaves, the partners elect a new one within one month (Article 124). The initial subscribed capital is set in the instrument of incorporation and is stated in lari (Article 134).
Registering as an individual entrepreneur
You submit a written application with your full name, legal address, identification data and signature, together with your identity document. A foreigner uses an identity document accepted for notarial actions (Article 11).
Good to know
- Before the company is registered, the founders and the people who acted for it are jointly liable for obligations they took on its behalf (Article 10).
- Any change of registered data, such as the address or the manager, must be registered (Article 12).
- Some professional activities of natural persons, for example legal, audit and consulting work, are not treated as business activities under the Law (Article 3).
- After registering, think about taxes and accounting: see our business in Georgia guide, VAT and small business status.
